Welcome to Danai! These Terms of Service (“Terms”) govern your access to and use of Danai’s services (“Services”), including our data integration, analysis, and machine learning model training services. By accessing or using the Services, you (“Client” or “you”) agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Services.

1. Services Provided

Danai provides services that involve:

  • Data Integration: Securely connecting to and importing your data from various sources.
  • Data Analysis: Analyzing your data to provide insights and reports.
  • Machine Learning Model Training: Using your data to train machine learning models for specific purposes as agreed upon.
  • Service Delivery: Providing access to analysis results, trained models, and related services through a designated platform or as otherwise agreed.

2. Client Data and Privacy

  • Data Ownership: You retain ownership of all data you provide to Danai (“Client Data”).
  • Data Usage: You grant Danai a non-exclusive, royalty-free, worldwide license to use, process, and analyze Client Data for the sole purpose of providing the Services. Danai will not use Client Data for any other purpose without your explicit consent.
  • Data Security: Danai will implement reasonable security measures to protect Client Data from unauthorized access, use, or disclosure. However, no security system is impenetrable, and Danai cannot guarantee the absolute security of Client Data.
  • Data Privacy: Danai will comply with applicable data privacy laws and regulations. Our Privacy Policy, which is incorporated into these Terms, describes how we collect, use, and disclose personal information.
  • Anonymized/Aggregated Data: Danai may create anonymized or aggregated datasets from Client Data for internal research, development, and improvement of the Services. This data will not identify you or your clients.

3. Client Responsibilities

  • Data Accuracy: You are responsible for the accuracy, completeness, and legality of Client Data.
  • Data Rights: You represent and warrant that you have all necessary rights and permissions to provide Client Data to Danai and to grant the licenses described in these Terms.
  • Acceptable Use: You agree not to use the Services for any illegal, unethical, or harmful purpose, including but not limited to:
    • Infringing on intellectual property rights.
    • Distributing malware or other harmful software.
    • Engaging in fraudulent activities.
    • Violating any applicable law.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Intellectual Property

  • Danai IP: Danai retains all intellectual property rights in the Services, including any software, algorithms, and methodologies used.
  • Client IP: You retain all intellectual property rights in Client Data.
  • Model Ownership: The ownership of the trained models will be determined by the agreement between Danai and the Client. In the absence of a specific agreement, the trained models will be owned by Danai, but the client will have a license to use the model for the purpose it was designed for.

5. Payment and Fees

  • Fees: You agree to pay the fees for the Services as agreed upon in a separate agreement or as described on our website.
  • Payment Terms: Payment terms will be specified in the applicable agreement.
  • Taxes: You are responsible for any applicable taxes.

6. Disclaimer of Warranties

  • THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
  • DANAI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • DANAI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
  • Danai does not guarantee the accuracy of results generated by machine learning models. Machine learning models are based on the provided data, and their accuracy is dependent on the quality and quantity of that data.

7. Limitation of Liability

  • IN NO EVENT SHALL DANAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
  • DANAI’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO DANAI IN THE 3 MONTHS PRECEDING THE CLAIM.

8. Termination

  • Either party may terminate these Terms upon written notice if the other party breaches these Terms.
  • Danai may terminate these Terms immediately if you violate any applicable law or regulation.
  • Upon termination, you must cease all use of the Services, and Danai will delete Client Data in accordance with our data retention policy.

9. Governing Law

  • These Terms shall be governed by and construed in accordance with the laws of Pakistan.
  • Your use of the Application may also be subject to other local, state, national, or international laws.

10. Changes to These Terms

  • Danai may modify these Terms at any time by posting the revised Terms on our website. Your continued use of the Services after the posting of revised Terms constitutes your acceptance of the changes.

11. Disputes Resolution

  • If you have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting Danai.

13. Entire Agreement
